Terms of Service

1. Scope of work

M3D Parts fabricates replacement and custom parts for equipment and instruments. Parts are supplied as non patient contact, non implant mechanical components: housings, covers, knobs, brackets, mounts, trays, racks, guides, fixtures, and similar hardware.

2. What we do not provide

M3D Parts is not certified to any quality management system standard, is not FDA registered, and holds no regulatory clearance for any product. We make no representation that any part is biocompatible, sterilizable, autoclavable, suitable for patient contact, or suitable for use in a sterile field. We do not manufacture medical devices or medical device components. We do not remanufacture equipment or alter its performance specifications, safety specifications, or intended use.

3. Your representations

By submitting a request you represent and warrant that:

1. You own the equipment or are lawfully authorized to maintain it.
2. No service agreement, license, lease, or other contract binding on you prohibits or restricts your use of third party replacement parts.
3. Any physical sample, photograph, drawing, measurement, CAD file, or other material you provide is yours to provide, and is not subject to a nondisclosure agreement, license, or other restriction that would be breached by providing it to us.
4. You are not requesting reproduction of any trademark, logo, brand name, trade dress, or manufacturer identifier.
5. You have determined that a third party part is appropriate for your application, and you will perform any inspection, testing, validation, or regulatory assessment that your application requires.
6. You are not requesting a part for use in patient contact, implantation, a sterile field, or any life support or life sustaining function.

4. Fitness for purpose

Parts are supplied as is. We do not test parts for your application and cannot know your operating conditions, loads, temperatures, chemicals, cleaning agents, or regulatory environment. Determining whether a part is fit for its intended use is solely your responsibility. If your organization operates under a regulatory framework, satisfying that framework is your responsibility.

5. Intellectual property

We do not reproduce manufacturer trademarks, logos, or brand identifiers on parts we produce. Where we reference an equipment make or model, we do so descriptively, to identify compatibility only. M3D Parts is not affiliated with, authorized by, endorsed by, or sponsored by any equipment manufacturer. We reserve the right to decline any request that we believe may infringe a third party's rights, without explanation.

6. Indemnification

You agree to indemnify, defend, and hold harmless M3D Parts and its owner from any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising from your breach of any representation in Section 3, your use, installation, or resale of any part we supply, or any third party claim that a part produced at your request infringes that party's intellectual property rights.

7. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or related to a part or to these terms is limited to the amount you paid for that part. We are not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including equipment downtime, lost revenue, lost data, damage to equipment, or the cost of substitute goods or services, even if we were advised of the possibility.

8. Right to decline

We may decline any request for any reason or for no reason. We may also stop work on an accepted job, in which case we will refund amounts paid for the incomplete portion.

9. Information you send us

We use the information you submit to evaluate and fulfill your request. We do not sell it. Physical samples are returned with the finished part unless you tell us otherwise, or unless the measurement process destroys the sample, which we will tell you about before it happens.

10. Governing law

These terms are governed by the laws of the State of California. Venue for any dispute is Los Angeles County, California.

11. Changes

We may revise these terms. Each version carries a version identifier. The version in effect at the time you submit a request governs that request.
